Scope of services<\/span><\/strong><\/h3><p class=\"qwen-markdown-paragraph\"><span class=\"qwen-markdown-text\">CODELY SPARK S.R.L. provides web development, digital design, online store creation and optimization, SEO consultancy and other bespoke services in the field of digital technology, in accordance with the specifications agreed in the quote or contract.<\/span><\/p><div class=\"qwen-markdown-space\">\u00a0<\/div><p class=\"qwen-markdown-paragraph\"><span class=\"qwen-markdown-text\">All services are delivered <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">to professional standards<\/span><\/strong><span class=\"qwen-markdown-text\">, with attention to detail, performance and in accordance with the client's requirements.<\/span><\/p><div class=\"qwen-markdown-space\">\u00a0<\/div><div class=\"qwen-markdown-hr\"><hr \/><\/div><div class=\"qwen-markdown-space\">\u00a0<\/div><h3 class=\"qwen-markdown-heading\"><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">3. Work and delivery process<\/span><\/strong><\/h3><ul class=\"qwen-markdown-list\" dir=\"auto\"><li><span class=\"qwen-markdown-text\">After the order is confirmed, we begin work within <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">1\u20133 business days<\/span><\/strong><span class=\"qwen-markdown-text\">.<\/span><\/li><li><span class=\"qwen-markdown-text\">The delivery time is clearly stated in the quote or contract and may vary depending on the complexity of the project.<\/span><\/li><li><span class=\"qwen-markdown-text\">The client undertakes to provide feedback and approvals within the agreed deadlines, so as not to delay completion of the project.<\/span><\/li><li><span class=\"qwen-markdown-text\">Intellectual property rights over the final product (e.g. site, code, design) are transferred to the client <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">upon payment in full<\/span><\/strong><span class=\"qwen-markdown-text\"> of the invoice.<\/span><\/li><\/ul><div class=\"qwen-markdown-space\">\u00a0<\/div><div class=\"qwen-markdown-hr\"><hr \/><\/div><div class=\"qwen-markdown-space\">\u00a0<\/div><h3 class=\"qwen-markdown-heading\"><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">4. Payments and invoicing<\/span><\/strong><\/h3><ul class=\"qwen-markdown-list\" dir=\"auto\"><li><span class=\"qwen-markdown-text\">Payment is made in accordance with the terms set out in the quote (e.g. 50% advance, the remainder on completion).<\/span><\/li><li><span class=\"qwen-markdown-text\">Invoices are issued electronically and sent by email.<\/span><\/li><li><span class=\"qwen-markdown-text\">Services are invoiced <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">exclusively in RON<\/span><\/strong><span class=\"qwen-markdown-text\">, at the National Bank of Romania exchange rate on the invoice issue date.<\/span><\/li><li><span class=\"qwen-markdown-text\">In the event of payment delayed beyond <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">15 days<\/span><\/strong><span class=\"qwen-markdown-text\">, penalties may be applied in accordance with the law.<\/span><\/li><\/ul><div class=\"qwen-markdown-space\">\u00a0<\/div><div class=\"qwen-markdown-hr\"><hr \/><\/div><div class=\"qwen-markdown-space\">\u00a0<\/div><h3 class=\"qwen-markdown-heading\"><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">5. Limitation of liability<\/span><\/strong><\/h3><ul class=\"qwen-markdown-list\" dir=\"auto\"><li><span class=\"qwen-markdown-text\">We guarantee that the services delivered function in accordance with the agreed specifications.<\/span><\/li><li><span class=\"qwen-markdown-text\">We are not liable for indirect losses (e.g. lost revenue, reputational damage) resulting from delays or minor non-conformities that do not affect the main purpose of the service.<\/span><\/li><li><span class=\"qwen-markdown-text\">For maintenance services, technical support is provided on a <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">\u201cbest effort\u201d<\/span><\/strong><span class=\"qwen-markdown-text\">, with a response within <\/span><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">48 business hours<\/span><\/strong><span class=\"qwen-markdown-text\">.<\/span><\/li><\/ul><div class=\"qwen-markdown-space\">\u00a0<\/div><div class=\"qwen-markdown-hr\"><hr \/><\/div><div class=\"qwen-markdown-space\">\u00a0<\/div><h3 class=\"qwen-markdown-heading\"><strong class=\"qwen-markdown-strong\"><span class=\"qwen-markdown-text\">7.
