By placing an order or accepting a quote, the client declares that they have read and fully accept the provisions of this policy.

 
 

2. Scope of services

CODELY SPARK S.R.L. provides web development, digital design, online store creation and optimization, SEO consultancy and other bespoke services in the field of digital technology, in accordance with the specifications agreed in the quote or contract.

 

All services are delivered to professional standards, with attention to detail, performance and in accordance with the client's requirements.

 
 

3. Work and delivery process

  • After the order is confirmed, we begin work within 1–3 business days.
  • The delivery time is clearly stated in the quote or contract and may vary depending on the complexity of the project.
  • The client undertakes to provide feedback and approvals within the agreed deadlines, so as not to delay completion of the project.
  • Intellectual property rights over the final product (e.g. site, code, design) are transferred to the client upon payment in full of the invoice.
 
 

4. Payments and invoicing

  • Payment is made in accordance with the terms set out in the quote (e.g. 50% advance, the remainder on completion).
  • Invoices are issued electronically and sent by email.
  • Services are invoiced exclusively in RON, at the National Bank of Romania exchange rate on the invoice issue date.
  • In the event of payment delayed beyond 15 days, penalties may be applied in accordance with the law.
 
 

5. Confidentiality

CODELY SPARK S.R.L. undertakes to maintain the confidentiality of all information received from the client during the collaboration. It will not be disclosed to third parties without the client's written consent, except where required by law.

 
 

6. Limitation of liability

  • We guarantee that the services delivered function in accordance with the agreed specifications.
  • We are not liable for indirect losses (e.g. lost revenue, reputational damage) resulting from delays or minor non-conformities that do not affect the main purpose of the service.
  • For maintenance services, technical support is provided on a “best effort”, with a response within 48 business hours.
 
 

7. Changes and updates

We reserve the right to update these Terms and Conditions. Any change will be published on the site 15 days before it takes effect. Continued use of the services after that date constitutes acceptance of the new terms.

 
 

8. Applicable law and dispute resolution

Relations between the parties are governed by Romanian law. Any dispute will be resolved amicably and, failing agreement, before the competent courts in Bucharest.
